Legal Counsel

Job Description:

• Ensure that all legal processes of the company are carried out in compliance with applicable laws and regulations; proactively identify legal risks and develop preventive solutions,
• Provide legal consultancy primarily in the areas of capital markets law, banking and finance law, corporate law, and commercial law,
• Draft, review, and negotiate a wide range of contracts, particularly those related to investment banking, mergers & acquisitions (M&A), asset management, and portfolio management,
• Monitor regulatory compliance and maintain active communication with regulatory bodies such as the Capital Markets Board (CMB-SPK) and the Banking Regulation and Supervision Agency (BRSA-BDDK),
• Oversee litigation and enforcement proceedings, coordinate with external law firms when necessary,
• Provide legal opinions to the Board of Directors and internal audit teams,
• Support the preparation and implementation of internal policies related to confidentiality, competition, ethics, and compliance, and contribute to awareness trainings in these areas.

Qualifications:

• Licensed to practice law in Turkey,
• Preferably with experience in a law firm and/or within the financial sector,
• Strong knowledge and experience in capital markets, corporate law, contract law, and financial transactions,
• Well-versed in relevant regulations including those of the CMB, BRSA, KVKK (Personal Data Protection Law), and the Turkish Commercial Code,
• Fluent in English, both written and spoken.
